Novalingo Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Novalingo mobile applications, websites, content, and related services (collectively, the "Service"). The Service is provided under the Novalingo name by Arjang Consulting LLC ("Novalingo," "we," "us," or "our").

1. Acceptance

By downloading, accessing, or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility and Age Requirements

Novalingo is a general-audience language-learning service. It is not directed to children under 13, and you may not use the Service if you are under 13.

If you are at least 13 but have not reached the age of majority where you live, you may use the Service only with permission from a parent or legal guardian. Additional age or parental-consent requirements may apply under local law.

If we learn that a child used the Service in violation of this section, we may close the account and delete associated personal information.

3. The Service

Novalingo helps English learners study with curated videos, synchronized subtitles, vocabulary definitions, saved words, pronunciation support, AI explanations, grammar guidance, search, video history, and related learning features.

The launch version of Novalingo is offered without paid subscriptions or paid features. Product plans described in roadmaps or previews are not promises that a feature will launch or remain available.

Features and content may be experimental, limited, unavailable in some locations or on some devices, or changed or removed at any time. We do not guarantee that any particular video, feature, or learning result will remain available.

4. Accounts and Guest Use

You may be able to use parts of the Service as a guest or anonymous user. Some features may require an account, such as syncing saved words or watch history, submitting feedback, or requesting account deletion.

You are responsible for keeping your credentials secure and for activity under your account. Notify us at support if you believe your account has been compromised.

We may suspend or terminate access when reasonably necessary to address a violation of these Terms, unlawful use, security risk, harm to another person, or misuse of the Service.

5. YouTube and Third-Party Video Content

Novalingo uses YouTube API Services and embedded YouTube playback. YouTube videos are supplied by third parties and remain subject to YouTube's availability rules, age and embedding restrictions, copyright rules, terms, and privacy practices.

By using features that include YouTube content or YouTube API Services, you also agree to the YouTube Terms of Service. Google's privacy practices are described in the Google Privacy Policy.

We do not own YouTube videos unless expressly stated. A video may be changed, restricted, removed, or become unavailable without notice. We are not responsible for third-party videos, captions, recommendations, advertisements shown by YouTube, external links, or other third-party content.

You may not download, copy, redistribute, interfere with, or commercially exploit third-party video content except as permitted by the applicable provider and by law. Novalingo does not charge users for access to or playback of embedded YouTube videos.

6. AI Features

The Service may include AI-powered features that explain words, sentences, grammar, translations, or video context. AI output is generated automatically and may be inaccurate, incomplete, outdated, or unsuitable for your circumstances.

Do not rely on AI output as legal, medical, financial, immigration, academic-certification, or other professional advice. You are responsible for evaluating its accuracy and usefulness.

Depending on your platform and device, AI processing may occur on your device or through Novalingo and third-party AI or infrastructure providers. Prompts, selected words, subtitle text, recent conversation context, language preferences, video context, and related technical data may be processed to provide and secure the feature. Our Privacy Policy explains these practices in more detail.

Do not submit passwords, payment card numbers, government identifiers, health information, confidential information, or sensitive information about you or another person into AI features.

7. No Subscriptions or Third-Party Advertising at Launch

The launch version does not offer paid subscriptions, in-app purchases, or paid feature access. We will not charge you merely because subscription or paywall functionality appears in a product roadmap, unfinished interface, or application code.

If we introduce paid features later, we will clearly present the price, billing period, renewal terms, included benefits, and cancellation method before purchase. Purchases offered through Apple App Store or Google Play will also be governed by the applicable store terms.

Novalingo does not include an advertising SDK that serves third-party advertisements at launch. YouTube may independently show advertisements within or around YouTube content under its own terms; those advertisements are not selected or sold by Novalingo.

If Novalingo introduces third-party advertising, personalized advertising, or advertising measurement later, we will update the applicable terms and privacy notices and provide consent or opt-out choices where required before enabling those practices.

8. Feedback

If you send us feedback, suggestions, ideas, or bug reports, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to use, reproduce, modify, and incorporate that feedback into the Service without compensation or obligation to you.

Do not include confidential or sensitive information in feedback unless it is necessary for us to address your request.

9. Acceptable Use

You agree not to:

• Use the Service if you do not meet the age requirements in these Terms.
• Violate applicable law, another person's rights, app-store rules, third-party service terms, or these Terms.
• Scrape, crawl, copy, resell, or commercially exploit the Service or its content except as permitted by law or with our written permission.
• Reverse engineer or attempt to obtain source code except to the limited extent applicable law permits that activity despite this restriction.
• Circumvent security features, usage limits, access controls, or technical restrictions.
• Submit or generate unlawful, harmful, abusive, hateful, exploitative, infringing, deceptive, or privacy-invasive content.
• Collect information about another person without authorization.
• Interfere with the Service, its servers, networks, APIs, analytics, or security systems.
• Use bots, scripts, or automation except where we expressly permit it.
• Misrepresent your identity or create an account through unauthorized means.

10. Intellectual Property and Licence

The Service, including Novalingo's software, design, interfaces, trademarks, logos, original text, generated learning materials, and curated metadata, is owned by Novalingo or its licensors and is protected by intellectual-property laws. Third-party content remains the property of its respective owner.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Service for personal, non-commercial language learning on devices you own or control, subject to applicable app-store usage rules. No other rights are granted.

11. Third-Party Services

The Service may use or link to services supplied by Apple, Google, Firebase, Mixpanel, YouTube, AI providers, authentication providers, hosting and storage providers, dictionary providers, and analytics or diagnostics providers.

Your use of a third-party service may be subject to that provider's terms and privacy policy. We are not responsible for third-party content, policies, outages, data practices, or changes, except to the extent responsibility cannot be excluded under applicable law.

12. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information and how you may exercise privacy rights.

13. Account Deletion

You may request deletion through the in-app account-deletion feature or by contacting support.

Deletion is intended to remove or de-identify the account and associated server-side learning data, subject to limited retention required for security, fraud prevention, legal compliance, dispute resolution, and backup deletion cycles. Data stored only on your device may remain until you clear it or remove the app.

14. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Novalingo disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and uninterrupted operation.

We do not guarantee that:

• The Service will always be available, error-free, or secure.
• Videos, subtitles, definitions, translations, pronunciation, grammar content, or AI output will be accurate or complete.
• A specific feature, content item, or platform will remain available.
• The Service will achieve a particular learning, examination, employment, or proficiency outcome.

Nothing in these Terms excludes a warranty, guarantee, or consumer right that cannot lawfully be excluded.

15. Limitation of Liability

To the maximum extent permitted by law, Novalingo and its affiliates, officers, employees, contractors, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or opportunity arising from the Service or these Terms.

To the maximum extent permitted by law, our total liability for claims arising from the Service or these Terms will not exceed the greater of the amount you paid to Novalingo for the Service in the 12 months before the event giving rise to the claim or USD $100.

These limitations do not apply where prohibited by law, including where applicable to liability for fraud, wilful misconduct, gross negligence, death, personal injury, or breach of mandatory consumer rights.

16. Indemnity

To the extent permitted by law, you agree to indemnify Novalingo and its affiliates, officers, employees, contractors, service providers, and licensors against third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use of the Service, your content or submissions, or your material violation of these Terms or another person's rights.

This section does not apply to the extent prohibited by consumer law.

17. Termination

You may stop using the Service at any time. We may suspend or terminate access as described in Section 4.

Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, liability limitations, dispute terms, and obligations relating to your submissions.

18. Changes

We may update the Service or these Terms. If a change to these Terms is material, we will provide notice where required, such as in the app, on our website, by email, or through app-store release notes. The revised Terms will state their effective date.

Where applicable law requires your consent to a change, we will request it. Otherwise, continued use after the revised Terms take effect constitutes acceptance.

19. Disputes and Applicable Law

These Terms and any dispute involving the Service are subject to applicable law. If you are a consumer, you retain the benefit of mandatory consumer protections and any right to bring a claim in your home jurisdiction that cannot lawfully be limited by these Terms.

Before filing a claim, please contact the NovaLingo team so we can try to resolve the issue informally. This does not limit a right to contact a regulator, use small-claims procedures, or pursue a remedy without prior notice where applicable law permits.

20. App-Store Terms

If you obtain the Service from an app store, you must also comply with that store's usage rules.

For an Apple App Store download, the Apple Standard Licensed Application End User License Agreement applies to your licensed use of the app unless a valid custom licence is presented through Apple. These Terms are between you and Novalingo, not Apple. Novalingo, not Apple, is responsible for the Service, maintenance and support, warranties, product claims, and intellectual-property claims, subject to these Terms and applicable law. If the app fails to conform to an applicable warranty, you may notify Apple for any remedy Apple provides under its rules. Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a United States government embargo and are not listed on a United States government restricted-party list.

For a Google Play download, these Terms are between you and Novalingo, not Google. Google's responsibility is limited to the extent stated in the Google Play terms or required by law.

21. General Terms

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, reorganization, or sale of the Service, subject to applicable law. These Terms, the Privacy Policy, and applicable app-store terms form the agreement concerning your use of the Service.
